This agreement is between CarrotByte, company registration no. 202506502Z (hereafter "CarrotByte") and each CarrotByte customer (hereafter "the Customer").
By registering to use and/or logging into the CarrotByte SaaS Software Service ("Software" or "Service") through CarrotByte's website www.carrotbyte.com ("Site"), the Customer accepts these Terms of Service ("Terms") and enters into a legally binding agreement with CarrotByte. For clarity, these Terms also apply to unregistered visitors.
DEFINITIONS
"Account" shall mean the Customer's subscription account for Services with CarrotByte.
"Customer Data" shall mean any and all information (including any Personal Data) provided by the Customer to CarrotByte as part of the Customer's use of Services.
"Confidential Information" shall mean all non-public information, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
"Personal Data" shall mean the personally identifiable information of the Customer's patients that includes but is not limited to the patient's name, address, financial information, and/or medical history.
"Services" shall mean CarrotByte's SaaS software service, providing Optical Management Software (OMS) functionality.
"PDPA" shall mean the Personal Data Protection Act 2012.
1. SOFTWARE SERVICES – DESCRIPTION AND TERM OF CONTRACT
1.1 Service Description
This agreement provides the Customer access to CarrotByte's subscription-based SaaS software services. The functionality includes patient management, appointment scheduling, invoicing and billing, inventory management, business analytics, marketing functions, and a customizable branded app.
1.2 Access and Registration
The Customer may access the Service through a browser-based interface. Upon registration on our Site, the Customer will be given a unique login and password to set up their records and Account.
1.3 Account Security
It is the Customer's sole responsibility to ensure that the password is kept confidential. The Customer must notify CarrotByte immediately if it becomes aware of any unauthorized use of the Account or password.
4. SUBSCRIPTION FEES AND PAYMENT TERMS
Payment Processing
- All payments are processed through secure third-party payment gateways
- CarrotByte does not store or process credit card information directly
- Payment gateways are PCI-DSS compliant and follow industry-standard security protocols
- Accepted payment methods include major credit cards, debit cards, and bank transfers
Payment Terms
- Subscription fees are non-refundable except as required by law
- Failed payments may result in service suspension
- Late payments may incur additional fees
- All fees are exclusive of taxes, which will be added to the invoice where applicable
Free Trial Period
- Free trial periods are available for new customers
- Payment information is required to start a free trial
- Subscription will automatically begin at the end of the trial period unless cancelled
- You may cancel your subscription before the trial ends to avoid charges
6. GOVERNING LAW
This Agreement shall be construed in accordance with the laws of Singapore without giving effect to its conflict of law principles, and the parties hereby submit to the exclusive jurisdiction of the Courts of Singapore.
